1. Acceptance of Terms

By accessing and using the services provided by Foshan Yudaojin Technology Co., Ltd. ("Company", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

We provide custom computer programming services, IT consulting, software development, system integration, and related professional services. The specific scope of services will be defined in individual service agreements or statements of work.

4.2 Client Intellectual Property

Unless otherwise agreed in writing, custom software and deliverables created specifically for you under a service agreement will be owned by you upon full payment. We retain ownership of any pre-existing materials, tools, and methodologies used in providing the services.

5. Payment Terms

  • All fees are quoted in Chinese Yuan (CNY) unless otherwise specified
  • Payment terms will be specified in individual service agreements
  • Late payments may incur interest charges at the rate of 1.5% per month
  • We reserve the right to suspend services for non-payment
  • All fees are non-refundable unless otherwise stated in writing

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of our services.

Confidential information does not include information that:

  • Is publicly available through no fault of the receiving party
  • Was rightfully in possession of the receiving party prior to disclosure
  • Is independently developed without use of confidential information
  • Is required to be disclosed by law

7. Warranties and Disclaimers

7.1 Our Warranties

We warrant that we will perform our services in a professional and workmanlike manner consistent with industry standards. Any specific warranties will be detailed in individual service agreements.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We shall not be liable for any loss of profits, revenue, data, or business opportunities

9. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

10. Term and Termination

10.1 Term

These Terms remain in effect while you use our services. Individual service agreements will specify their own terms and duration.

10.2 Termination

Either party may terminate a service agreement as specified in that agreement. We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms.

10.3 Effect of Termination

Upon termination, you must cease all use of our services and return or destroy any confidential information. Provisions that by their nature should survive termination shall survive, including confidentiality, intellectual property, limitation of liability, and dispute resolution provisions.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12. Dispute Resolution

12.1 Negotiation

In the event of any dispute arising from these Terms, the parties agree to first attempt to resolve the dispute through good faith negotiations.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.

12.3 Jurisdiction

Any disputes that cannot be resolved through negotiation shall be submitted to the competent court in Foshan City, Guangdong Province, China.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and the Company regarding the use of our services.

13.2 Amendments

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.

13.5 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
